MKK USA acquires Tenaris' structure management business in the United States-Global Legal Chronicle

Pillsbury Winthrop Shaw Pittman LLP advised MKK USA on the transaction. Mitrani, Caballero and Ruiz Moreno provided consulting services for Tenaris.

Tenaris reached a definitive agreement with MKK USA Inc., a subsidiary of Maruichi Steel Pipe Co., Ltd., to sell its structural management business in the United States through the transfer of 100% ownership of its wholly-owned subsidiary Geneva Structural Management Co., Ltd. On a cashless and debt-free basis, at a price of US$15 million, it was adjusted according to changes in working capital at the end of the transaction.  

The company's plant in Geneva, Nebraska manufactures and sells square and rectangular welded steel pipes for structural applications.

Pillsbury Winthrop Shaw Pittman and a team including Shinya Akiyama (picture), Brian McKenna, Hiroto Nakajima and Keisuke Hayashi advised Maruichi Steel Pipe Co., Ltd.

Mitrani, Caballero and Ruiz Moreno advised Tenaris and Juan Ignacio Soma and Giada Treve.
